Special Notice
This Agreement is concluded by Hefei Xiguoke Technology Co., Ltd. (hereinafter referred to as "Calday Team") and the entity using Calday membership services (including individuals, teams, etc., hereinafter referred to as "User"), and has contractual effect. Please read this Agreement carefully before using the service. Confirming your agreement or using the service shall be deemed as acceptance of this Agreement.
I. Definitions and Explanations
1.1 【Calday Member and Account】
A Calday account or third-party login account that has the legal right to be used shall serve as the membership account. After topping up (including receiving gifts), the user can enjoy related membership services and thus become a Calday member.
1.2 【This Service】
Exclusive rights and special services for Calday members within the application. Different types of memberships (half-year, annual, permanent) have no differences in rights except for the duration of use. Permanent membership is valid for life under normal operation of the company. The Calday Team has the right to change and adjust member rights and services.
- Ad Removal: Member accounts will not display splash screen ads when opening Calday.
- Image and Video Cloud Backup: "Text Cloud Backup" is automatically enabled upon Calday account registration. When membership becomes active, "Image Cloud Backup" is automatically enabled, and data changes will trigger synchronization. Calday "Cloud Space" storage is limited to 10,000 diary entries and 20,000 media resources (images and videos). The team has the right to adjust storage limits. After membership expires, the "Cloud Backup" function will be closed, but "Cloud Space" media resources will still be saved.
- Export Diary: Members can export diaries within their member account to PDF or Word, with a limit of 10 exports per day. The daily limit resets the next day, and each export can include a maximum of 100 entries.
- Exclusive Themes, Custom Reminders: Members can change theme backgrounds without restriction during their membership validity period and set specific time reminders for recording diaries.
- Custom Stationery: Members can use photos from their current device's album as stationery during their membership validity period. Photos will be synchronized to "Cloud Space" for storage.
1.3 【Calday Membership Rules】
Rules, activity rules, usage rules, announcements, prompts, notifications, etc., regarding Calday membership, published and revised by the Calday service provider.
- Term Modification: The Calday Team has the right to modify the service terms at any time and will update them on relevant pages. If you do not agree to the modifications, you may stop using the service; continued use will be deemed as acceptance of all modifications.
- Premium Membership Explanation
- Right Adjustment: The Calday Team has the right to adjust the continuous monthly subscription period, price, and related content of membership based on demand and changes in products and services.
1.4 【This Agreement】
- This Agreement is a supplementary agreement to the "Calday User Terms" and forms a unified whole with it. In case of conflict, this Agreement shall prevail.
- The content of this Agreement includes relevant agreements and business rules regarding this service published by the Team, which, once published, become an inseparable part and are effective for both parties.
II. Account Management and Usage Rules
2.1 【Account Management】
Users should correctly use and properly keep and maintain their Calday account and password. Losses caused by leakage, loss, or theft that are not due to the legal fault of the Calday Team shall be borne by the user.
2.2 【Usage Rules】
- Legal Acquisition and Use
- Calday membership services are limited to use within the Calday app and web version. Actions that illegally separate the services are not protected, and the Calday Team reserves the right to pursue liability and claim compensation.
- Membership services obtained through illegal means are not protected, and the Team has the right to cancel or refuse to provide them. Losses and liabilities shall be borne by the perpetrator.
- Obtaining membership services or participating in activities to obtain benefits through unofficial or unauthorized channels is not protected. The Team has the right to handle such situations and take account management measures. Losses and liabilities shall be borne by the perpetrator.
- Exclusive and Non-Commercial Use
- Calday membership service is a personal, non-transferable, and non-exclusive license, intended for private, non-commercial use only.
- You must not provide an account with membership services to others for use; otherwise, you shall bear the legal consequences yourself, and the Team has the right to suspend or terminate the service.
- Account Independence
- For multiple Calday accounts belonging to the same entity, each account is independent when logging in as a member.
- Top-up records and video data between accounts cannot be transferred or assigned. Pay attention to distinguishing accounts when logging in and topping up; otherwise, any losses incurred shall be borne by the member, and the Team may suspend or terminate services depending on the situation.
III. Membership Service Content
3.1 【Member Privileges】
- After activating membership services, you will enjoy corresponding service experiences based on your top-up records and participation in activities, subject to the content published on the service page and actually provided.
- The rights enjoyed after purchasing Calday membership are subject to what is published within the app. The Team has the right to change member rights, which will be updated and displayed on the corresponding pages, or you may contact official personnel for inquiry. You are encouraged to regularly check the agreement to protect your rights.
3.2 【Device and System Differences】
After activating services through designated channels, users understand and exempt the Calday Team from relevant liabilities if there are differences in the actually available services due to software versions, devices, operating systems, or third-party reasons.
3.3 【About Charges】
This service is a paid service, and can only be used by paying the corresponding fees or through other methods approved by the Team (e.g., gifts from friends). The Team may modify the detailed rules of service rights, charging standards, methods, etc., which will be updated and displayed on the corresponding pages. Preferential offers will be provided for topping up and renewing membership at different stages based on actual circumstances, subject to the publicly announced information. You are encouraged to regularly check the agreement to protect your rights. If you do not accept the adjustments, you can choose not to purchase membership.
3.4 【Payment】
- Payment shall be made in accordance with the agreement through methods designated by the Calday Team (e.g., Alipay, WeChat Pay, or other existing or future designated methods). Payments made are non-transferable and non-refundable.
- You must not activate services for yourself or others through the following means:
- Activation for profit or other non-personal use purposes.
- Activation through programmatic or software means.
- Activation through improper means or in violation of the principle of good faith.
- Activation through non-designated means.
- Activation through means that infringe upon rights.
- Activation through means that violate laws, regulations, or policies.
3.5 【Service Period】
- The service period shall be based on the period you choose and pay for, which can be checked on the corresponding page.
- The service period includes reasonable time required for the Team to resolve faults, etc., and no additional compensation will be given.
3.6 【Usage Rules and Explanations】
To provide better services, the Team may adjust member rights, including content of rights, payment methods, prices, etc.
IV. Breach of Contract Liability
4.1 Breach of Conduct
- Violation of the terms of this Agreement.
- Violation of laws, regulations, etc.
- Damaging or affecting the Team's provision of services to third parties.
- Engaging in acts that endanger computer network security.
- Causing adverse effects on the legitimate interests of the Team and related third-party services or activities, or infringing upon them.
- Being deemed to infringe upon the legitimate rights and interests of third parties.
- Using the service to obtain illegal benefits.
- Other acts that infringe upon the legitimate interests of the Team.
4.2 Handling of Breach of Conduct
The Team has the right to take one or more of the following measures:
- Delete, block, or disconnect relevant information through technical means.
- Suspend or terminate part or all of the services.
- Deduct membership validity duration corresponding to the breach period.
- Restrict user rights such as sharing and storage.
- Not refund fees; unused fees shall be forfeited as liquidated damages. The member shall bear related losses of rights and shall compensate the Team for any losses caused (e.g., attorney fees, litigation fees, etc.).
4.3 Compensation Liability
If the user's breach of contract or illegal conduct causes losses to the Team (including direct and indirect economic losses, etc.), the user shall compensate for all losses. If the breach of contract causes damage to a third party, the user shall bear independent responsibility.
V. Changes, Suspension, and Termination of Service
5.1 Service Suspension or Termination Circumstances
- User actively suspends or terminates, such as initiating a refund, or failing to renew upon expiration.
- Team actively suspends or terminates services due to user's breach of contract.
- Team suspends or terminates services due to requirements from the state or relevant departments, or force majeure events.
- Service should or needs to be suspended or terminated based on laws and regulations or Team business adjustments.
5.2 Notification Circumstances
After service suspension or termination, the Team has the right, but no obligation, to ensure the user receives special prompts or notifications. Users can consult customer service if they find they cannot log in or enjoy the service.
5.3 Handling After Suspension or Termination
- Except for liabilities stipulated by law, the Team shall not be liable to users and third parties for service suspension or termination.
- Fees already collected will not be refunded.
- For ongoing platform transactions, the Team will reasonably judge whether to continue or terminate them, and decide whether to refund fees or deduct liquidated damages.
5.4 Changes to Service Content and Agreement
The Team may change service content, methods, and agreement content based on the agreement. If a member does not agree, they may choose to cancel and stop using the service; continued use shall be deemed as acceptance of the adjustments.
5.5 Term Modification
If a member does not agree to the term modification, they may voluntarily request termination of membership service, but fees for the already enjoyed service portion will not be refunded; continued enjoyment shall be deemed as acceptance of the modification.
5.6 Special Nature of Internet Services
Due to the special nature of Internet services, the Team has the right to make "changes" such as modification, alteration, interruption, or termination of services for legitimate reasons, without notifying the user, and shall not be liable for losses caused by such changes.
VI. Disclaimer
- For content uploaded, published, or transmitted by users on the platform, the Team is not responsible for its accuracy, etc., and users exempt the Team from relevant liabilities.
- The Team shall not be liable for damages caused to users themselves or third parties when using or sharing information and content.
- The Team shall not be liable for compensation for loss or reduction of user accounts, property, etc., caused by non-Team reasons.
- Except as expressly provided by law, the Team shall not be liable for personal or financial losses or damages suffered by users when using the service. The Team shall not be liable for data leakage caused by personal password leakage, etc.
VII. Notices
Notices from the Team to users can be delivered through system announcements or mail transmission, etc. The date of dispatch shall be deemed the date of delivery. Users should ensure that the reserved contact information is correct and valid, and modify it in a timely manner after changes, otherwise, they shall bear the resulting losses and legal consequences. The Team can deliver notices through various means, and users should pay attention.
VIII. Applicable Law and Jurisdiction
- The conclusion, execution, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China.
- In case of disputes between the parties, they shall be resolved through friendly negotiation. If negotiation fails, either party may file a lawsuit with the People's Court in the place where the Calday Team is located.
- The Team's failure to exercise or enforce any right under this Agreement shall not constitute a waiver of that right.
- If any part of this Agreement is invalid or unenforceable, the remaining terms shall remain valid and binding.
- Within the scope permitted by laws and regulations, the Calday Team has the right to interpret this Agreement.
